Licensing model and use restrictions applicable to UiPath RPA Platform v2016.2.

UiPath Component Licensing Model Description
Studio Node Locked The License may be installed on a single machine. Any Authorized User on that machine can access the software. Licensee must obtain separate licenses for the maximum number of Authorized Users simultaneously accessing the Licensed Studio.
Authorized User The license may be installed on up to two machines (workstation and a laptop). Only the Authorized User can access the Licensed Studio.
Front Office Robot Node Locked The license may be installed on a single machine. Only one Software Instance can run at a time, irrespective of the number of users having access to it.
Authorized User The license may be installed on up to two machines (workstation and a laptop). Only the Authorized User can access the Licensed Front Office Robot and run a Software Instance at a time.
Back Office Robot Node Locked The license may be installed on one machine. Only one Software Instance can run at a time, irrespective of the number of users having access to it.
Orchestrator Server The license may be installed on a farm of machines. Any Authorized user can access the Licensed Orchestrator at any time. The Orchestrator components may access only one central database that stores the definition of the Front Office and Back Office Robots.

IMPORTANT

Customer is not permitted (and will not allow any third parties) to:
a. execute Development Outputs in production environments or circumvent Studio Licensing Model;
b. execute Development Outputs without human supervision using a Licensed Front Office Robot;
c. trigger the execution of Development Outputs from a third-party software or from a schedule using the Licensed Front Office Robot;
d. circumvent Front Office Robot Licensing Model; or
e. circumvent Back Office Robot Licensing Model.

Unpermitted Uses

Customer is not permitted to:

a) alter, merge, modify, translate, decompile, adapt, develop versions, derivative works, upgrade, improve, or extend, features or functionalities of the Licensed Platform, or of any portion thereof;
b) decrypt, disassemble or reverse engineer the Licensed Platform components or enter data thereon;
c) remove or modify any proprietary markings, legends or restrictions included in the Licensed Platform components originally supplied to Customer; the Customer agrees to reproduce UiPath's copyright and all other legal or proprietary notices on all copies of the Licensed Platform components (except copies made as part of a periodic system archival back-up).
d) sub-license, assign, transfer, rent, lease or lend any license acquired under this Agreement, without the prior written consent of UiPath, except for assignment to Customer Affiliates, which is permitted;
e) attempt to gain unauthorized access to any service, account, computer systems or networks associated with the Licensed Platform or UiPath.
f) use of the Licensed Platform in a manner that is inconsistent with the license grant;
g) re-sell or otherwise distribute in any manner the Licensed Platform;
h) use or otherwise export or re-export the Licensed Platform, except as authorized by United States law and the laws of the jurisdiction in which the Licensed Platform was obtained;
i) use or modify the Licensed Platform or any of its components to operate in a service bureau, managed service provider or commercial hosting services environment or by combining or incorporating it with other software (including cloud based) to provide services to third parties;
j) export or re-export (a) into any U.S.-embargoed countries or (b) to anyone on the U.S. Treasury Department's Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List (and by using the Licensed Platform, you represent and warrant that you are not located in any such country or on any such list);
k) use the License Platform for any purposes prohibited by United States or other national or international law, including, without limitation, the development, design, manufacture, or production of nuclear, missile, or chemical or biological weapons or any other similar use, including but not limited to aviation navigation or communication systems, life support systems and equipment; or in special risk areas that require error-free, permanent supervision or operation of relevant systems and in which the failure of the software may result in a direct risk for life, body, health or in substantial damages to property or the environment.
l) use the License Platform to infringe or violate the rights of any other party or violate any laws, contribute to or encourage infringing or otherwise unlawful conduct.
