In no event will UiPath Parties be liable to you or any other person or entity for any indirect, special, incidental, exemplary or consequential damages or loss of goodwill in any way relating to these Terms (including Specific Terms) or resulting from the use of or inability to use the Services of the performance or non-performance of any Services, including the failure of essential purpose, even if you have been notified of the possibility or likelihood of such damages occurring, and whether such liability is based on contract, tort, negligence, strict liability, products liability or otherwise. To the extent permissible under applicable law, UiPath Parties are not responsible for any loss or damage arising from your failure to comply with the Terms (including Specific Terms) or due to use of your account, either with or without your knowledge, including due to someone else using your password, prior to you notifying UiPath of unauthorized access to your account. Nothing in these terms limits or excludes our liability for gross negligence, for our (or our employees’) intentional misconduct, or for death or personal injury.

Choice of Law and Dispute Resolution
For any issue you might have, you agree to first try to resolve the dispute informally by contacting UiPath. If a dispute is not resolved within 60 days of submission, you or UiPath must first resolve any claims relating to these terms, through final and binding arbitration, except that you may assert claims in small claims court if your claims qualify (if mediation was unsuccessful). If you reside in the Americas, JAMS will administrate the arbitration in Santa Clara County, California pursuant to its Comprehensive Arbitration Rules and Procedures. If you reside in Australia, New Zealand, Japan, mainland China, Hong Kong S.A.R., Macau S.A.R., Taiwan, South Korea, India, Sri Lanka, Bangladesh, Nepal, or a member state of the Association of Southeast Asian Nations (ASEAN), then the Singapore International Arbitration Centre (SIAC) will administer the arbitration in Singapore under its Rules of Arbitration, which rules are deemed to be incorporated by reference in this section. Otherwise, the London Court of International Arbitration (LCIA) will administer the arbitration in London under the LCIA Arbitration Rules. There will be one arbitrator that you and UiPath both select. The arbitration will be conducted in the English language, but any witness whose native language is not English may give testimony in the witness’ native language, with simultaneous translation into English (at the expense of the party presenting the witness). Judgment upon the award rendered may be entered and will be enforceable in any court of competent jurisdiction having jurisdiction over the parties.
