Licensing Models Policy

Capitalized terms used but not defined in this Policy will have the meaning assigned to them in the applicable licensing agreement for the Products (the "Agreement"). 

Products may connect through shared functionalities or come in similar licensing models, despite being commercialized individually. For ease of reference and regardless of said similarities, descriptions of licensing schemes are provided per Product. The models in this document are not exhaustive and do not reflect a complete list of the Products. Additional licensing permissions or restrictions may be provided in other documentation, including, without limitation, the Manuals.

Not all license types named in this document are accompanied by a license key.

UiPath Studio (ST) is used to design and maintain automation workflows. References to ST in this document also include and apply to STX.

UiPath StudioX (STX) is a profile of ST used to design and maintain automation workflows.

UiPath Robot (R) is used to execute automation workflows.

UiPath Attended Robot (AR) is used to execute automation workflows as a direct result of a human action and under human supervision.

UiPath Unattended Robot (UR) is used to execute automation workflows without human supervision.

Non-Production Robot (NR) is used to execute automation workflows for development, training, testing and evaluation purposes only

UiPath Orchestrator (OC) is used to license, deploy, manage and monitor Robots.

UiPath Activities (UA) are software templates for automation projects created, made available or published by UiPath.

UiPath Apps (APP) are work items created and assigned to a User during a process execution in OC.

UiPath Connect Enterprise Hub (CEH) is used to assess the potential to automate certain digital processes.

UiPath Explorer Expert (EEX) is used to design an automation workflow based on user inputs.

Machine means a physical or virtual computer.

Non-Production Environment is the environment where the Product is installed and used for development, internal training, testing and evaluation purposes only.

Production Environment means the environment where the Product is installed and used for your intended purposes except as prohibited in the Additional Restrictions section.

Runtime means the execution capacity of a Machine and is equal to the number of URs that can be used simultaneously on that Machine.

Software Instance means one single running process or a group of processes that was started by a single initial User or application accessing the same desktop.

Upgrade Support License means a license to be used solely to facilitate parallel upgrading to a higher version of the Product; use in a Production Environment is permitted exclusively during the upgrade period.

User means a person who is authorized to use the Product according to the Agreement.

The UiPath Cloud Platform Licensing Model available here applies to the UiPath-hosted version of the UiPath Platform.

Product Licensing Model Description
UiPath Orchestrator (OC) Server A User may activate OC on a farm of Machines that belong to a single logical OC instance. Any User can then access OC at any time. 
UiPath Studio (ST/STX) with OC Named User Only a uniquely identified User can access ST in an active desktop session. ST may be licensed on multiple Machines that share the same uniquely identified User and is activated via OC or standalone using a ST license. One ST license may be active on only one Machine at any given point in time. You must obtain separate licenses for each uniquely identified User accessing ST. 
Concurrent User Any User can access ST in an active desktop session. ST may be licensed on multiple Machines and is activated via OC using a ST License. One ST license may not be active on more than one active desktop session at any given point in time.  You must obtain separate licenses for each User simultaneously accessing ST. 
UiPath Studio (ST/STX) without OC Named User  Only a uniquely identified User can access the ST in an active desktop session. ST may be licensed on multiple Machines that share the same uniquely identified User and is activated using a standalone license. One ST license may be active on only one Machine at any given point in time. You must obtain separate licenses for each uniquely identified User accessing ST.
Node Locked Any User can access ST in an active Desktop session, one User at a time. ST is activated using a stand-alone license. A license may be activated on a single desktop MachineYou must obtain separate licenses for each User simultaneously accessing ST. 
UiPath Attended Robot (AR) with OC Named User Only a uniquely identified User can access the AR in an active desktop session. AR may be licensed on multiple Machines that share the same uniquely identified User and is activated within OC. One AR license may be active on only one Machine at any given point in time. You must obtain separate licenses for each uniquely identified User accessing AR.
Concurrent User Any User can access the AR in an active desktop session. AR may be licensed on multiple Machines and is activated via OC by using an AR license. One AR license may not be active on more than one active desktop session at any given point in time.  You must obtain separate licenses for each User simultaneously accessing AR. 
UiPath Attended Robot (AR) without OC Named User Only a uniquely identified User can access the AR in an active desktop session. AR may be licensed on multiple Machines that share the same uniquely identified User and is activated using a standalone license. One AR license may be active on only one Machine at any given point in timeYou must obtain separate licenses for each uniquely identified User accessing AR. 
Node Locked Any User can access the AR in an active desktop session, one User at a time. AR is activated using a stand-alone license. A license may be activated on a single desktop Machine. You must obtain separate licenses for each User simultaneously accessing AR. 
UiPath Unattended Robot (UR) with OC Concurrent Runtime UR may be licensed on multiple Machines and accessed by any number of Users. One UR license may not be active on more than one desktop session at any given point in time. You must obtain separate licenses for the maximum number of Runtimes of the Machines connected simultaneously to OC. 
UiPath Unattended Robot (UR) without OC Node Locked Only one Software Instance can run at a time, irrespective of the number of Users having access to it. UR is activated using a standalone license. A license may be activated on a single Machine. You must obtain separate licenses for each User simultaneously accessing UR.  
UiPath APP  Named User  One APP license may be assigned to only one User at any given point in time. The Customer must obtain separate licenses for each uniquely identified User accessing APP. 
UiPath CEH  Named User  One CEH license may be assigned to only one User at any given point in time. The Customer must obtain separate licenses for each uniquely identified User accessing CEH. 
UiPath EEX  Named User  One EEX license may be active on only one Machine at any given point in time. The Customer must obtain separate licenses for each uniquely identified User accessing EEX. 
Additional Restrictions 1. ST, AR, URNR and APP in conjunction with OC, benefit from a centralized licensing model.  
2. ST may be activated using UR or NR, solely for debugging purposes. A separate ST license is required if the ST is used to create or edit automation workflows on the Machine where the ST was activated using a UR, or NR license.  
3. ST may not be activated using an AR license. 
4. UR can also be used as AR, in accordance with the AR licensing specifications. 
5. AR cannot be used as UR. 
6. ST and AR can be used independently without OC or in conjunction with OC. ST and AR used without OC are activated with standalone licenses. 
7. If ST or AR licensed with a standalone license is also activated through a license granted in OC, the OC license will govern. 
 8. Automation workflows must not be executed in Production Environments using ST, ST licenses or Non-Production licenses, except when permitted to execute in debug mode as stated in point 2 above; 
9. Automation workflows must not be executed without human supervision using an AR license; 
10. Non-Production licenses must not be used for purposes other than expressly permitted herein. 
11. A disaster recovery set up may be created and should not be used for other purposes.  
Clarifications

1. Support is not provided for UR without OC. Support is provided when UR is used as AR in accordance with point 4 of Additional Restrictions above.

2. In its commercial offer UiPath distinguishes between OC Basic and OC Standard. OC Basic is a variation of OC Standard, with the same technical functionalities but limited to be used by a single tenant in Production Environment, with a maximum of 5 Robots (AR and/or UR) and a maximum of 5 ST.
